Before 1990, South Africa was a country in isolation and faced sanctions due to the Apartheid Regime. Corporate Governance was absent, and companies became complacent and were managed ineffectively. In 1992, when the Institute of Directors approached retired Supreme Court Judge Mervin King to chair a corporate governance committee, he did not only chair the committee but saw an opportunity to educate a newly democratic South Africa about the workings of a free economy, which subsequently lead to the first King Report in 1994. This tutorial will discuss the King III Code of Governance.
